1. Acceptance of Terms
Welcome to Addressable! These Terms of Service ("Terms") constitute a legally binding agreement between you and Addressable, LLC ("Addressable," "we," "us," or "our") governing your access to and use of the Addressable website, application, and services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
2. Eligibility
To use Addressable, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Service under applicable laws
By using the Service, you represent and warrant that you meet all eligibility requirements.
3. Account Registration and Security
To access most features of Addressable, you must create an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Immediately notify us of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
You may not share your account credentials or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these requirements.
4. Service Description
Addressable is a contact management platform that allows you to:
- Store and organize your contacts
- Add notes, tags, and custom information to contacts
- Import and export contact data
- Share contacts with other users (on applicable plans)
- Generate exports for specific purposes (e.g., holiday cards)
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Upload, store, or share contact information without proper consent
- Send unsolicited communications, spam, or bulk messages using exported data
- Harass, abuse, threaten, or intimidate others
- Impersonate any person or entity
- Attempt to gain unauthorized access to the Service or its systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means (bots, scrapers) to access the Service without permission
- Interfere with or disrupt the integrity or performance of the Service
- Upload malicious code, viruses, or harmful content
We may investigate and take appropriate action against anyone who violates these prohibitions, including removing content, suspending access, and reporting to law enforcement.
6. User Content and Data
6.1 Your Ownership
You retain ownership of all contact data and information you upload to Addressable ("User Content"). We do not claim ownership of your User Content.
6.2 License to Addressable
By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve the Service. This license ends when you delete your content or account.
6.3 Your Responsibilities
You are solely responsible for:
- Ensuring you have the right to upload and store any contact information
- Obtaining necessary consent from individuals whose data you store
- Maintaining your own backups of important data
- The accuracy and legality of your User Content
7. Subscriptions and Billing
7.1 Free and Paid Plans
Addressable offers both free and paid subscription plans. Free plans have feature limitations (such as contact limits), while paid plans unlock additional features and increased limits.
7.2 Billing and Renewal
Paid subscriptions are billed in advance on a monthly or yearly basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
7.3 Price Changes
We may change our subscription prices from time to time. Price changes will not affect your current billing period but will apply upon renewal. We will provide reasonable notice of any price increases.
7.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation, you will retain access to paid features until the end of your current billing period.
7.5 Refunds
If you cancel your subscription, you are entitled to a prorated refund for the unused portion of your billing period. Refunds are calculated based on the remaining days in your current billing cycle (monthly or yearly). To request a refund, please contact us at [email protected].
8. Intellectual Property
The Service, including its design, features, content, trademarks, and technology, is owned by Addressable and protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms. This license does not include the right to:
- Copy, modify, or distribute our software or content
- Use our trademarks or branding without permission
- Create derivative works based on the Service
- Sell, sublicense, or commercially exploit the Service
9. Third-Party Services
Addressable integrates with third-party services (such as payment processors and authentication providers) to deliver our Service. Your use of these third-party services is subject to their respective terms and privacy policies.
We are not responsible for the content, privacy practices, or actions of any third-party services. Any links to external websites are provided for convenience and do not constitute endorsement.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Defects will be corrected in a timely manner
- The Service will meet your specific requirements
- Any data stored will be preserved without loss
You use the Service at your own risk and are responsible for maintaining backups of your data.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADDRESSABLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Loss of goodwill or reputation
- Cost of substitute services
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Addressable and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights
13. Termination
You may terminate your account at any time by deleting your account through the settings page or by contacting us at [email protected].
We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy
- We are required to do so by law
- Your account has been inactive for an extended period
- We discontinue the Service
Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability.
14. Dispute Resolution
We prefer to resolve disputes informally. If you have a concern, please contact us at [email protected] and we will try to resolve the issue.
If we cannot resolve a dispute informally, you agree that any dispute arising from or relating to these Terms or the Service will be resolved through binding arbitration administered by a mutually agreed-upon arbitration provider, rather than in court. You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of creating your account.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law principles.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:
- Posting the updated Terms with a new "Last updated" date
- Sending you an email notification
- Displaying an in-app notice
Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
17. Severability and Waiver
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Addressable regarding the Service and supersede all prior agreements and understandings.
